Terms of Service
These Terms of Service (the “Terms”) govern your use of WP2Next (the “Service”), at wp2next.com, operated by GL, Inc. (“we”, “us”). These Terms apply to customers worldwide wherever the Service is available. By creating an account, running a scan, or purchasing a conversion you agree to these Terms. Our company and contact details are in the Commercial Disclosure section of our contact page.
Nothing in these Terms takes away consumer rights or remedies that cannot be excluded under the laws that apply to you. If a provision conflicts with those rights, those rights take priority.
1. What the Service does
The Service reads a publicly reachable WordPress website that you specify, produces a Next.js project reproducing that site, and makes the result available to you as a downloadable archive together with a verification report. Depending on the tier you purchase, the result is either a static clone of the original pages (“Static”) or a structured conversion with an administration interface (“Admin”, with files or SQLite storage chosen per run). Each purchase covers one domain and up to the number of conversion runs stated at checkout. Assisted Migration has a separately agreed scope, price, and delivery schedule in your project quote.
2. Your site, your authorization
You may only submit websites that you own or that you are expressly authorized to migrate. Scans and conversions are read-only: the Service sends ordinary HTTP requests comparable to a browser or search engine crawler and never logs in to, writes to, or modifies the source site. You are responsible for ensuring that reading and reproducing the site does not infringe anyone’s rights, including the rights of theme, plugin, font and image licensors.
3. Accounts and payment
You need an account to purchase and must be legally able to enter into this agreement. If you use the Service for a business or another organization, you must have authority to act on its behalf. Keep your account details accurate and your sign-in credentials secure.
Static and Admin are one-time purchases, not recurring subscriptions. Prices are in US dollars (USD), and any applicable taxes and the total are shown at checkout. Payments are processed by Stripe; we do not store card numbers. Your bank or card provider may apply its own exchange rate and currency-conversion or international transaction fees.
Once payment is confirmed, you can start conversion runs from your dashboard. Your generated project is delivered when a run completes and the download becomes available. Hosting, domain registration, and third-party services are separate unless expressly included in your order.
4. Runs, limits and fair use
A purchase includes the number of conversion runs shown at checkout for the single domain locked to the project. A run that fails for a reason on our side is not counted. The free preview converts a capped number of pages of one domain, once per domain within a rolling period and a limited number of times per account per day; it exists to let you judge quality before buying and is not a substitute for a purchased tier. We cap crawl size and asset volume to keep the Service fair for everyone; the current limits are described in the download guide. We may refuse or stop a run that is abusive, unlawful, or that targets infrastructure that is not a public website.
5. What you receive and what you own
The generated project is delivered to you as source code. You own the output insofar as it reproduces your own content and design, and you may host, modify and redistribute it freely. The Service, its conversion engine, templates and the administration interface shipped inside the output remain our intellectual property; you receive a perpetual, royalty-free licence to use them as part of the generated project. Archives are kept available for download for 30 days after a run completes and may be deleted afterwards; download promptly.
6. Fidelity and limitations
The Static tier aims for a visually identical reproduction at identical URLs, and the verification report shows page by page what was checked. The Admin tier restructures content into editable blocks, so its layout follows the converted theme and will differ from the original; this is by design and is disclosed before purchase. Server-side functionality of the source site (form submission, search, logins, e-commerce, comments) does not carry over to a static site unless a backend is connected. Sites protected by bot-blocking, with the REST API disabled, or built with page builders may convert partially or not at all; the free scan indicates this in advance.
7. Acceptable use
You must not use the Service to scan or copy sites without authorization, to probe or attack any system, to circumvent access controls, or to interfere with the Service. We may suspend accounts that breach these Terms.
8. Disclaimer and liability
The Service is provided “as is”. To the fullest extent permitted by law we disclaim all implied warranties. Our total liability for any claim arising from the Service is limited to the amount you paid us for the purchase concerned. We are not liable for indirect or consequential loss, lost revenue, or loss of search rankings. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence where exclusion or limitation is prohibited. These disclaimers and limits do not override mandatory standards for digital content or services, consumer guarantees, or rights to repair, replacement, a price reduction, cancellation, or a refund under applicable law.
9. Refunds
Our Refund Policy forms part of these Terms and describes our refund commitments. Its deadlines and exclusions do not limit any additional cancellation, withdrawal, or refund rights you have under applicable consumer law.
Starting a conversion or downloading a project does not, by itself, waive a statutory right of withdrawal. Where the law requires separate express consent, acknowledgement, or confirmation before that right can be lost, accepting these Terms alone does not meet those requirements. To request cancellation or a refund, contact us with your account email and project domain.
10. Changes and termination
We may update these Terms; the revision date is shown at the top of this page and material changes are announced in the dashboard. You may close your account at any time by contacting us. Purchases already made remain subject to the Terms in effect at the time of purchase, unless you agree to a change or applicable law requires otherwise. Closing or suspending an account does not remove any refund or other rights you already have under applicable law.
11. Governing law and resolving disputes
GL, Inc. is based in Japan, and these Terms are governed by Japanese law. If you are a consumer, this choice of law does not deprive you of mandatory protections under the laws of your country of residence that would otherwise apply.
Please contact us if a problem arises so we can try to resolve it. This does not prevent you from seeking a legal remedy or contacting a consumer-protection authority. Consumers may bring proceedings in their local courts wherever applicable law gives them that right; these Terms do not require them to bring those claims in Japan. For disputes with business customers, the Tokyo District Court has exclusive jurisdiction, subject to any mandatory rules of applicable law.
